Violations of Terms of Use MLO may disclose any information we have about you (including your identity) if it determines that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with MLO' property or rights, or the property or rights of customers, visitors, users or Content providers of the Site. MLO reserves the right to disclose any information that MLO deems necessary to comply with any applicable law, regulation, legal proceeding or governmental request. In addition, MLO may disclose your information if MLO determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes. Governing Law You agree that all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of the United States and by the laws of the State of Minnesota without regard to its conflict of laws provisions. You agree to the personal jurisdiction and venue in the state and federal courts located in Hennepin County, Minnesota, and waive any objection to such jurisdiction or venue. Void Where Prohibited The Site is administered by MLO from its location in Minnetonka, Minnesota, USA; other MLO sites may be administered and operated from various other locations. Although the Site is accessible worldwide, not all features, products or services discussed, referenced, provided or offered through or on the Site are available to all persons or in all geographic locations, or appropriate or available for use in all areas. MLO reserves the right to limit, in its sole discretion, the availability and quantity of any feature, product or service to any person or geographic area. Any offer for any feature, product or service made on the Site is void where prohibited. If you choose to access the Site from outside the United States, you do so on your own initiative and you are solely responsible for complying with applicable local laws. If any of the provisions of these Terms of Use are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Use so that these Terms of Use shall remain in full force and effect. These Terms of Use constitute the entire agreement between you and MLO with regard to your use of the Site, and any and all other written or oral agreements or understandings previously existing between you and MLO with respect to such use are hereby superseded and cancelled. MLO' failure to insist on or enforce strict performance of these Terms of Use shall not be construed as a waiver by MLO of any provision or any right MLO has to enforce these Terms of Use. User Feedback Any feedback you provide shall be deemed to be non-confidential. You agree that MLO shall be free to use such information on an unrestricted basis. Copyright If you believe that you have been defamed in some manner by the Site or your own work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent the following information in writing: (a) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest or the person defamed, along with your address, phone number and email address; (b) a description of the defamatory material, or the copyrighted work that you believe has been infringed, and a description of where the material that you claim is defamatory or infringing your rights is located on the Site; (c) a statement by you that you have a bona fide, good faith belief that the defamatory activity has occurred or that the use by a third party of your proprietary rights is not permitted by the copyright owner or by law; and (d) a statement that the information provided is accurate and that, under penalty of perjury, you are the allegedly defamed party or the copyright owner or authorized agent to act on the copyright owner's or allegedly defamed person's behalf.
